Mission Statement |

To advance research and increase knowledge and understanding of dental and
cranio-facial research within Europe. |

|
- To develop and expand collaboration between the European Divisions of IADR
and its members.
- Establish and support programmes to promote dental and cranofacial
research within Europe in collaboration with IADR and particularly within
regions that have less well-developed research programmes.
- To liaise with the IADR in furthering its missions and objectives.
- To expand and develop partnerships between the PEF and the dental industry,
European health agencies and scientific, educational and professional
organisations.
- To facilitate the development of research networks and partnerships within
Europe, with particular emphasis on funding opportunities from the European
Union.

| AIMS |

- To organise on a regular basis, scientific meetings in appropriate venues
within Europe at which dental and cranio-facial research workers can meet
together to present current knowledge and findings on dental and cranofacial
research health research.
- To provide opportunities to publish and disseminate scientific findings,
for example through the European Journal of Oral Sciences" or through modern
communication systems.

| CONSTITUTION |

Article I |
The organisation shall consist of the European Divisions of the
International Association for Dental research (IADR) and be known as the Pan
European Federation of Divisions of the IADR. Referred to below as the PEF. |

Article II |
Objectives
i) to promote the advancement of dental and cranio-facial research within
Europe
ii) to facilitate the exchange and dissemination of information and
ideas relating to dental and cranio-facial research through the
organisation of regular scientific meetings. The exchange and
dissemination of information will also be enhanced by any other means,
which may be appropriate.
iii) to conduct all operation of the Federation in accordance with
the provisions of the Constitution and Regulations of the IADR. |

Article III |
Membership
i) The PEF shall be formed from the Divisions of the IADR within Europe.
ii) Any person who is a full member or a Life Member of any of the
constituent elements of the PEF and who is in good standing with their
parent division, will enjoy all of the privileges of membership of PEF.
iii) On payment of appropriate dues to the PEF, each institution or
company will be entitled to one active Corporate or Institutional
membership within the Federation.
Withdrawal of Membership
To be in good standing members must have paid the full subscription of
their parent division and of the IADR.
i) a subscription must have been paid on the date fixed by the
Treasurer of the parent division.
Members who are not in good standing with their parent division at the
date for registration for a scientific meeting of the PEF, shall not be
eligible to attend that meeting as a member. |

Article IV |
Organisation and Management
i) The executive Committee of the PEF shall comprise 3 nominees from
each of the divisions of the IADR which comprise the PEF.
ii) Institutional and corporate members of the PEF will be eligible
to nominate 1 person to attend and participate fully in the meetings of
the executive committee of the Federation. |

Article V |
Qualifications
i) All officers and officials of the Federation shall be active members
of the IADR.
ii) An officer of the PEF shall have had active service as a division
or sub-divisional section officer, or as a councillor to the IADR
Council.
Officers of the Federation
The officers of the Federation shall be a President, President-elect,
Immediate past President and Secretary/Treasurer. Each of the officers will
be drawn from a different division of the PEF by rotation. The
President-elect and the Secretary/treasurer shall be elected by the
Executive Committee of the PEF.
Term of Office
i) Terms of the President, President-elect, and Immediate
Past-President shall be one calendar year.
ii) For the Secretary/Treasurer it shall normally be five years.
iii) Tenure of each officer shall last until the installation of his/her
duly elected successor.
iv) The terms of office of members of the Executive Committee shall
normally by three years. Nominees may not serve for consecutive terms.
One third of the Executive Committee shall be replaced each year by
rotation.
The Officers of the Association will be inaugurated at the Annual Meeting
of the Executive Council at a date to be agreed.
Vacancies
As interim vacancy in any office shall be filled for the unexpired term
by the majority vote of the Executive Committee. |

Article VI |
The address of the Society shall be that of the Secretary/Treasurer |

Article VII |
The governing body of the Federation shall be its Executive Committee,
which will meet on no less than one occasion annually. Decisions required
due to ad interim contingencies shall be made by the officers of the
Federation and by the Executive Committee if appropriate opportunity is
available for consultation by electronic means.
Amendments to the Constitution may be proposed by any of the constituent
divisions. They will be considered at the next meeting of the Executive
Committee of the Federation. Adoption of such amendments to the Constitution
shall require a majority of not less than two-thirds of the members present
and voting at the Executive Committee meeting. Any modifications to the
constitution must also be ratified by the Executive Councils of the
Divisions comprising the PEF. If approved, such amendments shall become
effective at the end of the PEF Executive Council meeting at which notice is
received that the recommended changes have been approved by the constituent
divisions.
At any meeting of the Executive Committee, a quorum shall be comprised of
at least one-half of the Committee members. These members must represent at
least one-half of the Divisions comprising the PEF at the time of the
meeting, and provided notice of the meeting shall have been given in fact or
mailed to all members at least 60 days prior to the date on which the
meeting is called. |

Article VIII |
Finances
The Federation shall receive its funding in part by contributions
from the Constituent divisions and in part by sponsorship and support
from industry. Funding may also be available from the IADR.
Expenditure
The funds of the Federation may be expended only on the general or
specific authorisation of its Executive Committee.
Accounts
All accounts and assets of the Federation shall be audited annually
by an appropriately qualified individual. The Secretary/treasurer will
have responsibility for maintaining the Federation's bank account in
Euros.
Corporate/Non Profit Status
This Federation is a non-profit federation organised under the
prevailing European laws. If the corporation shall be dissolved at any
time, no part of its funds or property shall be distributed to its
members. After payment of all indebtedness of the Federation, its
surplus funds shall be used for dental research in such manner as the
then-governing body of the Federation shall determine |

Article IX |
Meetings
The Federation shall normally meet for the exchange of scientific
information not less than every third year. Such meetings will replace
the annual session of the constituent divisions.
The venue for the meetings will be decided by the Executive Committee
of the Federation but would normally be expected to rotate around the
constituent divisions of the Federation. |

Article X |
Reports
The President and Secretary/Treasurer will prepare and disseminate an
annual written report to the Division comprising the PEF.
By Laws
Categories of Membership
Categories of individual membership will be at the discretion of each
Division in the Federation. Membership of the Federation must comply
with Article III of the constitution
Corporate and Institutional Section
Membership in the Corporate and Institutional Section shall be the
only membership in the Federation permitted for institutions. Each
Corporate and Institutional Section Member will designate one
representative from its institution to represent it in the Institutional
Section.
Corporate and Institutional members will have representation in the
Council through on Councillor elected by the Institutional Section.
Institutional members will have no other voting or nominating privileges.
Committees
Appointments to standing and ad hoc committees and scientific
grouping shall be made by the Executive Committee.
Groups
Scientific groupings within the PEF shall be drawn from the
constituent Divisions. Their role will be:
- to foster networking and research development within the Federation
- to assist with the organisation and programming of the
scientific sessions at PEF meetings
- to provide experienced individuals to review the quality of
research submissions for the PEF meetings

Quorum/Rules
At any meeting of the Executive Committee, a quorum shall be
comprised of at least one-half of the Committee members. These members
must represent at least one-half of the Divisions comprising the PEF at
the time of the meeting, and provided notice of the meeting shall have
been given in fact or mailed to all members at least 60 days prior to
the date on which the meeting is called. The Federation shall operate
under the rules of Parliamentary procedure.
Finance
Any surplus from the PEF scientific meetings shall be divided between
the members of the Federation as below:
25 % of the surplus to the PEF
40 % of the surplus to be divided equally between the divisions
comprising the PEF
35 % to be divided between the divisions comprising the PEF on the
basis of the numbers of members from each division attending that
scientific meeting. |
